SWIIP Wallet & 24 Hour Ice Machine Services

1. INTRODUCTION
These Terms and Conditions (“Terms”) govern access to and use of the SWIIP Wallet, SWIIP card functionality, the 24 Hour Ice Machine vending services, and all related digital platforms (collectively referred to as the “Services”).
The Services are owned and operated by Sumbos Zimbabwe (Private) Limited (“Sumbos”, “Company”, “we”, “us”, or “our”).
By registering for a SWIIP account, topping up funds, accessing your wallet, or using any vending machine linked to the SWIIP system, you agree to be legally bound by these Terms.
If you do not agree to these Terms, you must not use the Services.

2. ELIGIBILITY
To use the Services:
• You must be at least 18 years old.
• You must provide accurate and complete information.
• You must not use the Services for unlawful purposes.
• You must have legal capacity to enter into binding contracts under Zimbabwean law.
The Company reserves the right to refuse or terminate registration at its discretion.

3. NATURE OF THE SWIIP WALLET
3.1 The SWIIP Wallet is a prepaid stored-value system.
3.2 It is not a bank account and does not constitute a financial institution service.
3.3 Funds stored in the Wallet do not earn interest.
3.4 Wallet funds may only be used at authorized 24 Hour Ice Machine locations or approved Company services.

4. ACCOUNT REGISTRATION & SECURITY
4.1 Users must provide accurate and truthful registration details.
4.2 Users are solely responsible for maintaining the confidentiality of login credentials.
4.3 The Company is not liable for losses arising from failure to safeguard login details.
4.4 Suspicious activity may result in temporary suspension pending investigation.
4.5 The Company reserves the right to request identity verification at any time.

5. SWIIP CARD USAGE
5.1 Where a physical or digital SWIIP card is issued, it remains the property of Sumbos unless stated otherwise.
5.2 Lost or stolen cards must be reported immediately.
5.3 The Company is not responsible for unauthorized transactions made before loss is reported.
5.4 Replacement cards may be subject to an administrative fee.

6. PAYMENTS & TOP-UPS (INCLUDING PAYNOW)
6.1 All wallet top-ups are processed via approved third-party payment providers, including Paynow.
6.2 Wallet balances will only be credited upon confirmed successful payment notification.
6.3 The Company is not responsible for payment delays caused by banks, mobile money services, payment gateways, or internet disruptions.
6.4 If a transaction is reversed or subject to chargeback after funds are used, the Company reserves the right to recover the amount and/or suspend the account.

7. TRANSACTION RECORDS
7.1 Users may view their transaction history via their dashboard.
7.2 The Company’s system records shall serve as prima facie evidence of transactions.
7.3 Users must report discrepancies within 7 days of the transaction date.

8. SYSTEM ERRORS & TECHNICAL MALFUNCTIONS
8.1 In the event of pricing, balance, or technical errors, the Company reserves the right to correct such errors.
8.2 Incorrect credits may be reversed.
8.3 Users agree not to exploit technical glitches or system errors.
8.4 Machine downtime due to maintenance or technical faults shall not constitute breach of service.

9. PRICING & SERVICE MODIFICATIONS
The Company reserves the right to:
• Modify ice pricing
• Introduce administrative fees
• Adjust wallet functionality
• Update service features
Changes will be communicated via the website or electronic notification.

10. REFUND POLICY
10.1 Wallet top-ups are generally non-refundable.
10.2 Refunds may be considered in cases of duplicate payments or confirmed system malfunction.
10.3 All refund requests are subject to investigation and approval.
10.4 Approved refunds may be processed within a reasonable timeframe.

11. FRAUD & ANTI-MONEY LAUNDERING
11.1 The Company reserves the right to monitor transactions for suspicious activity.
11.2 Accounts suspected of fraud may be suspended immediately.
11.3 The Company may report unlawful activities to relevant authorities.
11.4 Users agree not to use the Services for money laundering or illegal financial activity.

12. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
• The Company shall not be liable for indirect, incidental, or consequential damages.
• Liability shall not exceed the wallet balance at the time of dispute.
• The Company is not liable for third-party payment failures or internet outages.
• The Company is not responsible for improper storage of ice after collection.

13. INDEMNIFICATION
Users agree to indemnify and hold harmless Sumbos Zimbabwe (Private) Limited, its directors, officers, employees, and agents from any claims, damages, or liabilities arising from:
• Breach of these Terms
• Fraudulent use of the Services
• Violation of applicable law
No director, employee, or agent shall be personally liable for Company obligations.

14. FORCE MAJEURE
The Company shall not be liable for failure or delay in performance due to events beyond reasonable control, including:
• Power outages
• Natural disasters
• Government action
• Civil unrest
• Network or internet failure

15. DORMANT ACCOUNTS
Accounts inactive for 12 consecutive months may be classified as dormant.
The Company reserves the right to:
• Restrict transactions
• Request re-verification
• Apply administrative procedures consistent with applicable law

16. ELECTRONIC COMMUNICATIONS
By using the Services, users consent to receive electronic communications including:
• Transaction confirmations
• Security alerts
• Policy updates
• Statements
Electronic communications shall constitute legal notice.

17. DISPUTE RESOLUTION
17.1 Users must first submit complaints in writing to Sumbostech@gmail.com.
17.2 The Company shall investigate and respond within a reasonable timeframe.
17.3 If unresolved, disputes shall be governed by the courts of Zimbabwe.

18. SEVERABILITY
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in effect.

Failure by the Company to enforce any right or provision shall not constitute a waiver of such right.

These Terms shall be governed by and interpreted in accordance with the laws of Zimbabwe.
